Terms of Service
1. Agreement
By joining our waitlist, viewing a rebrand preview, or purchasing a package, you agree to these Terms. If you’re acting for a business, you confirm you’re authorized to do so on its behalf. By accessing our website, joining the waitlist, viewing any concept preview, submitting information, or purchasing any package, you acknowledge that you have read, understood, and agree to be bound by these Terms.
2. What we do — and don’t
Nuave Studio designs brands: logos, color, typography, brand guidelines, collateral mockups, and website design, delivered as digital files. We deliver brand assets, not back-office services. We do not provide accounting, invoicing/estimating systems, legal, hosting, or ongoing maintenance services. The specific deliverables for each package (Brand Essentials, Brand Standard, Brand Pro) are listed on our pricing page and are part of these Terms by reference. You acknowledge that branding and design services involve creative judgment and that we do not guarantee any specific business results, including increased revenue, customer engagement, brand recognition, website traffic, or commercial success.
3. How it works — preview, then buy
You join the waitlist and complete an intake form. We design concepts for your business and send you a private invitation to view them. There is no payment or commitment to view your concepts. When you choose a concept and a package, you pay, and we deliver your final files. The intake form serves as our discovery — there is no separate discovery call. All previews, concepts, drafts, and materials we provide before purchase are confidential and remain our exclusive property. You may not copy, reproduce, modify, distribute, publish, or use any preview materials unless you purchase the applicable package and receive ownership rights under these Terms.
4. Payment
- Packages are paid in full when you choose your package. We use Stripe for payment.
- We do not require deposits or offer installment plans.
- Revisions to a chosen concept are an optional paid add-on: $250 for the first revision and $350 for the second, with a maximum of two.
- Upgrades: you may upgrade your package at any time by paying the difference between what you paid and the higher package.
- Prices are in USD. Applicable sales tax is addressed in Section 13.
- By submitting payment, you authorize us and our payment processor (Stripe) to charge your selected payment method for the applicable package and any approved additional services.
- You agree not to initiate a chargeback or payment dispute for services properly provided under these Terms. Any billing concerns must first be submitted directly to us for resolution.
5. Revisions and scope
Concepts are delivered as finished work. Standard delivery does not include revision rounds; changes are handled through the paid revision option in Section 4. Work beyond the deliverables listed for your package (for example, additional website pages or rush timelines) is not included and is not offered as part of the standard packages. Any available revision opportunities must be requested within a reasonable period following delivery of the applicable deliverables. Unused revision opportunities expire upon final delivery or completion of the project.
6. No refunds
Because you are able to review completed concepts before deciding whether to purchase, all purchases are considered final. Once payment has been submitted, fees are non-refundable except where required by applicable law or where we fail to provide the purchased deliverables.
7. Timelines
Timelines are estimates, not guarantees. Invitations to view concepts typically go out within 1–2 weeks of joining the waitlist, depending on queue volume. After purchase, final files are typically delivered within 24–48 hours (Essentials), 1–2 weeks (Standard), or up to 4 weeks (Pro), depending on package and how promptly you provide any needed information. Requested revisions extend these timelines. Delivery timelines may be extended due to delays caused by you, including delays in providing requested information, approvals, content, or feedback.
8. Ownership and intellectual property
- Upon payment in full, you own the final logo and brand deliverables we create for you, to use as you wish.
- Until payment in full, all concepts, designs, and files remain our property. Unpurchased concepts are not licensed to you and may not be used.
- We may display completed work in our own portfolio and marketing materials in the future; we do not currently maintain a public portfolio at launch.
- Your ownership applies only to the final deliverables expressly included in your purchased package. We retain all rights, title, and interest in preliminary concepts, rejected designs, drafts, working files, templates, design processes, methodologies, and other materials not expressly transferred to you.
9. Trademark
We design an original mark for you. We do not perform trademark searches or register trademarks, and we make no guarantee that your name or logo is available for trademark or free of conflict. Protecting your brand legally is your responsibility — we recommend consulting a trademark attorney before investing heavily in signage, wraps, or printing. You are solely responsible for conducting trademark searches, obtaining trademark registrations, and determining whether your selected brand elements may be legally used.
10. Your content and image rights
You are responsible for any text, photos, or other content you provide. You represent and warrant that you own or are properly licensed to use everything you give us, including royalty-free or owned images, and you agree to indemnify Nuave Studio against any claim arising from content you supplied without the necessary rights.
You represent and warrant that all materials you provide to us, including text, photographs, graphics, logos, trademarks, and other content, are owned by you or that you have obtained all necessary rights, permissions, and licenses for our use of such materials.
You agree to defend, indemnify, and hold harmless Nuave Studio, its owners, employees, contractors, and affiliates from and against any third-party claims, damages, liabilities, losses, costs, settlements, and reasonable attorneys’ fees arising out of or relating to your breach of these representations or our use of your provided materials in accordance with your instructions.
11. AI-assisted imagery
We may use AI tools to create or enhance imagery so it matches your brand’s color and mood. Where we generate or modify images, we do so to support your brand; your own authentic job and crew photos remain the source of proof-of-work content. We may use artificial intelligence tools as part of our creative process to assist with generating, enhancing, or refining design elements. All final deliverables are reviewed and curated by us before delivery.
12. Websites, hosting, and deployment
- Website design is included in Brand Standard (UI design) and Brand Pro (web-ready files). A standard site is up to about eight pages.
- The UI design is the single foundation; deployment builds that same approved design into a live site (Brand Pro $395 website launch add-on — “we launch your new website”).
- Hosting and your domain are your responsibility. We do not sell domains and do not host or maintain your site, and we charge no ongoing fees. You purchase your domain from a domain registrar and set up hosting with a web host; both remain in your name. If you have an existing site, we reskin your existing content; if not, you provide content via our form.
- Unless expressly agreed otherwise in writing, we do not guarantee website performance, search engine rankings, accessibility compliance, third-party platform compatibility, or uninterrupted operation after delivery.
13. Sales tax
Prices do not include applicable taxes. We will collect and remit sales, use, or other applicable taxes where required by law.
14. Fonts and third-party assets
Brand typography uses royalty-free typefaces so you can use your brand without licensing fees. Any third-party assets are provided under their respective licenses. Third-party assets, including fonts, images, or software elements, may be subject to separate license terms. You agree to comply with all applicable third-party licensing requirements.
15. Limitation of liability
To the maximum extent permitted by applicable law, we provide our services on an “as is” and “as available” basis and disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
Our total liability arising out of or relating to these Terms, the services, or any deliverables shall not exceed the total amount you paid for the applicable package.
In no event will we be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost revenue, loss of business opportunities, or loss of data, regardless of whether we have been advised of the possibility of such damages.
16. Changes to these Terms
We may update these Terms. The version in effect at the time of your purchase governs that purchase. Any updates will apply only to purchases made after the updated Terms become effective.
17. Governing law and venue
These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in New York.
